Iron Berry INC. Affiliate Program Terms of Service
Agreement
By signing up as an Affiliate in the Iron Berry Affiliate Program, you agree to abide by all of the following terms and conditions.
Iron Berry reserves the right to update and change the Terms of Service at any time without notice unless necessary. Any new features that enhance the Program, including the release of new tools and resources, will be subject to these Terms. Continued use of the Program after any changes constitutes your consent to the updated Terms.
Violation of any terms below will result in the termination of your account and forfeiture of any outstanding affiliate commission payments earned during the violation.
Account Terms
- You must be 18 years or older to participate in this Program.
- Only human users are allowed. Accounts registered by “bots” or other automated methods are not permitted.
- You must provide your legal full name, a valid email address, and any other required information to complete the signup process.
- Your login may only be used by one person. Shared logins among multiple individuals are not permitted.
- You are responsible for maintaining the security of your account and password. Iron Berry is not liable for any loss or damage due to your failure to comply with this obligation.
- You are responsible for all content posted and activity that occurs under your account.
- One person or legal entity may not maintain more than one account. Exceptions may be made for creators living in the same household upon request.
- You may not use the Affiliate Program for illegal or unauthorized purposes.
- You may not use the Program to earn money on your own Iron Berry product accounts unless an exception is granted for household creators.
Links & Graphics
- Upon signing up, you will receive a unique Affiliate Code that you submitted to us during the application process.
- You may place links, banners, or other graphics provided with your Affiliate Code on your site, emails, or other communications.
- Iron Berry will provide guidelines and graphical assets for linking to its content.
- Special link formats must be used to ensure accurate tracking of referrals. Commissions are only paid for sales occurring directly through properly formatted Special Links or codes.
- Affiliate links must direct users to the page of the product being promoted to be eligible for a commission.
Referral Fees & Payments
- Customers must complete an order via a Special Link/code from your site, email, or other communications to be eligible for referral fees.
- Only automatically tracked and reported links will generate commissions. Manually reported sales are not eligible.
- We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive marketing methods.
- Payments begin once you’ve earned over $20 in affiliate income. If your account never crosses the $20 threshold, commissions will not be paid.
- If you do not earn $20 in a given month, payment will be carried over to the next month until you meet the threshold.
Identifying as an Affiliate
- You may not issue press releases regarding this Agreement or your participation in the Program.
- You may not misrepresent your relationship with Iron Berry or imply sponsorship, endorsement, or partnership beyond what is stated in this Agreement.
- You may not purchase products through your affiliate links for personal use.
Customer Definition
- Customers who purchase through this Program are considered Iron Berry customers.
- All customer service, policies, and pricing decisions are at the discretion of Iron Berry.
- Prices and availability of products may change at any time.
Your Responsibilities
As an Affiliate, you are solely responsible for:
- The technical operation of your site.
- Ensuring that Special Links comply with third-party agreements (e.g., hosting providers).
- The accuracy and legality of materials posted on your site.
- Compliance with copyright, trademark, privacy, and proprietary rights.
- Proper disclosure of data collection practices.
Compliance with Laws
- You must comply with all applicable laws and regulations.
- This includes compliance with marketing laws, such as the CAN-SPAM Act of 2003 and other anti-spam laws.
Term & Termination
- The Agreement begins upon acceptance into the Program and remains active until terminated by either party.
- Either party may terminate the Agreement at any time with written notice.
- Upon termination, you must remove all Iron Berry branding, links, and promotional materials from your platforms.
- Any earnings above $20 accrued before termination will be paid within seven days of termination notice.
Limitations of Liability
- Iron Berry is not liable for indirect, special, or consequential damages, including loss of revenue, profits, or data.
- Total liability will not exceed the total referral fees paid to you under this Agreement.
Disclaimers
- No express or implied warranties are provided regarding the Program or products sold.
- Iron Berry does not guarantee uninterrupted or error-free operation of its services.
Independent Investigation
You acknowledge that you have read and agree to these Terms.
You understand that Iron Berry may engage in affiliate marketing independently from this Program.
Arbitration
- Any disputes related to this Agreement shall be submitted to confidential arbitration under the rules of the American Arbitration Association.
- Injunctive or other legal relief may be sought in cases of intellectual property rights violations.
Miscellaneous
- This Agreement is governed by the laws of the United States.
- You may not assign this Agreement without prior written consent.
- Failure to enforce any provision does not constitute a waiver of rights.
- These Terms supersede any prior agreements between you and Iron Berry.
